PREPARATION OF THE TRANSACTION
- Understand your business background, including conducting a site visit to your business and/or interviewing your key management personnel
- Discuss with you to help set up the “equity story” for the Transaction to present with Potential Buyers
- Assist you in summarizing your business model and key value drivers for evaluating business valuation
- Discuss with you about the business plan and financial forecast related, and provide our comments for your consideration
- Identify your growth potential and route in the business plan to present to Potential Buyers
- Assist you in the preparation of the presentation documents (such as a “teaser”, and an information memorandum) in relation to the Transaction
VENDOR ASSISTANCE
- Assist you in reviewing historical operation data to support and justify the financial forecast
- Collect and review your historical financial data (audit report, management accounts etc.) to prepare presentable financial information
- Discuss with you about findings in historical financial/operation data review and find out applicable solution when dealing with the Potential Buyers and their advisors
- Assist you in the normalization adjustments on key financials including EBITDA and net profit
- Assist you in preparation of financial data book, which can be included in the information package for the Transaction
IDENTIFICATION & APPROACH TO POTENTIAL BUYERS
- Assist you in approaching the Potential Buyers and collecting the feedback from the Potential Buyers
- Assist you in obtaining the NDAs from the interested Potential Buyers and the circulation of the introductory information
- Facilitate further communication with the interested Potential Buyers and manage the information exchange
ASSESSMENT & NEGOTIATION OF LOI
- Collect the letter of intent (“LOI”) from the Potential Buyers and analyse the key terms of the LOI
- Assist you in formulation for next step discussion and advise you on the strategy and tactics to be adopted in dealing with Potential Buyers in the Transaction
- Assist you in the negotiation of the LOI with the Potential Buyers until the LOI is accepted by both parties
